You shall not: (i) modify or create derivative works based upon the Content; (ii) commercially distribute, sublicense, resell, give away or otherwise transfer the Content;  (iii) rent, lease, lend, or use the Content for commercial timesharing;  (iv) use for any commercial purpose, or any public display or performance; (v) decompile, reverse engineer, or disassemble software Content except and only to the extent permitted by applicable law; (vi) remove any copyright or other proprietary notices from the Content; (vii) transfer the Content to a third party; (viii) constitute or encourage conduct that would constitute a criminal offence or give rise to civil liability; and (ix) adversely impact, interrupt or attempt to interrupt the operation of the Site or the Internet in any way including but not limited to the posting or transmitting of information or software containing viruses or other disruptive components.  MIRAVID may terminate this license at any time if you are in breach of the Terms Conditions. Upon termination, you will immediately destroy all Content.

The Content, and the copyright in the Content, are owned or controlled by MIRAVID or its content suppliers. You may only use or reproduce the information in the Content for your own personal, non-commercial or educational use. Security of Transmitted Communications

Internet transmissions cannot be guaranteed to be private or secure. You understand that any message or information you send to the Site may be read or intercepted by others unless it is encrypted. MIRAVID does not have special responsibility for the Communications you send.

Indemnification

You agree to defend, indemnify and hold MIRAVID and all of its agents, directors, officers, employees, information providers, licensors and licensees, affiliates and subsidiaries, (collectively, "Indemnified Parties") harmless from and against any and all liabilities, costs and expenses, including, without limitation, attorneys' fees and costs, incurred by the Indemnified Parties relating to any violation of these Terms and Conditions by you, or in connection with the use of the Site or the placement or transmission of any information or other materials on the Site by you.  You will cooperate as fully as reasonably required in MIRAVID's defense of any claim. MIRAVID reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of MIRAVID.

Change

MIRAVID reserves the right to add, remove, or change any or all parts of this Terms and Conditions at any time without notice.  Any changes are immediately effective as soon as they are posted.  Continued use or access of the Site after changes have been posted indicates your acceptance of those changes.  MIRAVID reserves the right to add, remove, or change any or all Content posted on the Site at any time without notice and/or liability.

General

Access of the Site from locations outside Canada is done so on your initiative and you are responsible to ensure compliance with applicable local laws.  You shall not export, re-export or disclose (directly or indirectly) the Content or any portion thereof, in violation of U.S. export laws or regulations or any other law, regulation or government order.  It is your responsibility to comply with the U.S. government requirements, including update of any amendments.  MIRAVID's failure to insist upon or enforce strict conformance of any provision of this Agreement shall not be construed as a waiver of any provision or right. If any of the Terms and Conditions is determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions hereof.  This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario and the federal laws of Canada applicable therein.  Any litigation between parties arising from use of the Site must be commenced within (1) year after the claim or cause of action arises and be conducted exclusively in Ontario Provincial courts or the federal courts within the Province of Ontario .  These Terms and Conditions and any other documents referenced herein, constitute the entire agreement between MIRAVID and you with respect to your use of the Site.
